Distribution Agreements Under Jordanian Law

Distribution Agreements Under Jordanian Law

Distribution Agreements Under Jordanian Law

Legal Characterisation Practical Effects and Judicial Trends

Research article prepared for academic review  October 2026

Abstract

This article examines distribution agreements under Jordanian law, where no single statute provides a complete legal regime for this form of commercial relationship.

The analysis focuses on the recurring overlap between independent distribution, commercial agency and franchising.

It defines an independent distribution agreement as a continuing framework under which a distributor purchases products in its own name and for its own account, assumes the commercial risks of stock and resale, and undertakes agreed marketing and organisational duties within a defined territory or sales network.

The main legal difficulty is the tension between the broad definition of a commercial agent in the Commercial Agents and Intermediaries Law No. 28 of 2001, which may extend to certain distributors selling for their own account, and Jordanian case law that gives greater weight to the economic substance of the transaction.

Courts have examined the transfer of ownership, allocation of stock and credit risks, method of remuneration, pricing freedom and the party contracting with customers.

The article concludes that contractual labels are not decisive. Classification controls the rules on registration, termination compensation, jurisdiction and inventory repurchase. It therefore recommends clearer statutory criteria, a reasonable notice requirement for long term distribution relationships, and proportionate protection for investments made specifically for the relationship.

Keywords: distribution agreement; commercial agency; independent distributor; exclusive distribution; termination; inventory; Jordanian competition law.

Distribution Agreements Under Jordanian Law

Introduction

Distribution agreements are central to modern trade.

A manufacturer or supplier rarely relies only on isolated sales.

It normally builds an organised route to market that preserves the identity of the product, maintains stock, supports advertising, and provides access to customers.

The local distributor, in turn, invests in staff, warehouses, regulatory approvals, customer relationships and market knowledge.

The economic value of the relationship often depends on continuity rather than on any single sale.

Jordanian legislation does not regulate the distribution agreement in one comprehensive statute.

The relationship may therefore engage the Civil Code, the Commercial Code, the Commercial Agents and Intermediaries Law, the Competition Law, consumer protection rules, intellectual property law and sector specific regulation.

The applicable rules depend less on the title of the agreement than on the functions performed by each party.

This classification question has practical consequences.

If the relationship is treated as a commercial agency, statutory registration requirements and special rules on termination compensation and inventory may apply.

If it is an independent distribution arrangement, the parties mainly rely on their contract and the general rules of obligations. A mistaken classification may therefore defeat a claim even where a genuine commercial loss has occurred.

Research Question and Method

The principal question is how Jordanian law classifies a distribution agreement and distinguishes it from commercial agency.

The article also examines formation, performance, exclusivity, termination, compensation, inventory and competition law.

It uses a doctrinal and case law method. Relevant statutory provisions are read together with selected decisions of the Jordanian Court of Cassation and the Amman Court of Appeal.

The discussion is limited to private commercial distribution of goods. Pharmaceutical and industrial cases are used because they provide useful judicial illustrations. Employment contracts, public distribution arrangements and ordinary civil mandates are considered only where they help to clarify the distinction.

The Concept and Legal Nature of a Distribution Agreement

A Functional Definition

A distribution agreement may be defined as a continuing framework under which a supplier or manufacturer agrees to supply goods or services to an independent distributor for resale within a specified territory, customer group or sales channel. The distributor purchases in its own name and for its own account, assumes the ordinary risks of stock and resale, and complies with agreed requirements concerning marketing, product presentation, storage and brand protection.

Four elements are particularly important. First, the distributor remains legally independent from the supplier. Second, ownership of the products normally passes to the distributor, which bears the risk of slow moving stock and fluctuations in resale demand. Third, the relationship involves continuing cooperation rather than a single sale. Fourth, the agreement organises access to a market, whether through territorial exclusivity, selective distribution or defined sales channels.

Supplier control does not by itself transform distribution into agency. Quality standards, approved advertising materials and after sales requirements may be necessary to maintain a consistent network. The relationship moves closer to agency, however, when the supplier concludes the transaction with the final customer, collects the price, bears the customer credit risk or pays the distributor a commission for bringing about the transaction.

Legal Characteristics

An independent distribution agreement is normally consensual, commercial, reciprocal and onerous.

It is also a continuing or successive performance contract.

The parties often select one another because of reputation, technical ability, financial capacity or local market access.

This personal reliance explains why assignment, change of control and subcontracting usually require careful contractual treatment.

The agreement is also a framework contract. It establishes the rules governing future purchase orders, invoices and individual sales.

Ending the framework does not automatically undo sales already completed under it.

The contract must therefore distinguish between termination of the commercial relationship and the continuing effect of outstanding orders, warranties, payment obligations and confidentiality duties.

As long as the arrangement remains independent distribution, it is an innominate contract under Jordanian law.

Its express terms apply first, followed by the general rules of the Civil Code and the rules of sale where compatible with the agreement. Commercial custom may fill genuine gaps, but it cannot override a mandatory rule or change the true legal character of the relationship.

Main Forms of Distribution

Distribution ranges from a simple non exclusive arrangement to highly integrated networks. In simple distribution, the supplier may appoint several distributors and each party retains broad commercial freedom.

Exclusive distribution reserves a territory or customer group to one distributor and may be matched by a duty not to handle competing products. Selective distribution limits supply to businesses that satisfy objective standards connected with the product, the premises, technical service or brand presentation.

Franchising involves deeper integration.

In addition to product supply, the franchisee receives a business format, trade mark licence, know how and continuing assistance, usually against a separate fee.

The distinction matters because not every distributor using a trade mark is a franchisee.

The legal analysis must identify the actual package of rights and duties.

A single contract may contain mixed elements.

A business may buy products for its own account in the retail market but receive a commission for government tenders.

It may also act as the supplier’s limited representative before a regulatory authority.

In such cases, each obligation should be classified separately where possible.

If the elements cannot be separated, the court may examine the dominant purpose of the agreement.

Distribution and Commercial Agency

The Statutory Overlap

The Commercial Agents and Intermediaries Law No. 28 of 2001 uses a broad definition of commercial agent.

It covers a person approved by a principal as its agent or representative in Jordan and may also extend to a distributor of the principal’s products, whether paid by commission, by another form of consideration, or selling imported products for its own account.

Read literally, the definition reaches beyond the classic commission agent.

Jordanian courts have nevertheless excluded some ordinary purchase and resale relationships from commercial agency.

They have placed particular weight on payment of a purchase price, transfer of ownership, absence of commission, independent dealings with customers and express rejection of authority to bind the supplier.

This produces a genuine interpretive tension between the breadth of the statute and the functional analysis used in practice.

The tension should not be resolved by assuming that every distributor is an agent or that every buyer reseller is outside the statute.

Article 214 of the Civil Code directs attention to the purposes and meanings of contracts rather than their wording and form.

Where wording is unclear, Article 239 requires the court to identify the parties’ common intention by considering the nature of the transaction, commercial honesty, confidence and custom.

Jordanian Judicial Approach

In Court of Cassation Decision No. 1295 of 2020, dated 17 June 2020, the court held that describing a contracting party as an agent did not determine the legal character of the relationship.

The claimant purchased the products, paid their price and resold them without commission.

The agreement also denied the existence of agency.

The court treated the relationship as sale and distribution rather than commercial agency.

The compensation claim failed because it had been pleaded solely as compensation for termination of a commercial agency.

The Amman Court of Appeal adopted a similar approach in Decision No. 10967 of 2022, dated 28 December 2022.

The distributor placed purchase orders, paid the supplier and sold to its own customers.

The relationship was therefore one of independent distribution.

That conclusion did not erase contractual duties.

The court enforced the supplier’s undertaking, made in its termination correspondence, to allow the distributor to sell the remaining products or transfer them to the new representative.

Court of Cassation Decision No. 1260 of 2023, dated 17 July 2023, addressed an unregistered commercial agency.

The court held that the unregistered agency remained a valid contractual relationship governed by the general rules of the Civil Code and Commercial Code.

The parties, however, could not claim the special statutory benefits of the Commercial Agents and Intermediaries Law, including the broader compensation under Article 14 and the inventory mechanism under Article 15.

Formation and Performance

Contract Documents and Essential Terms

Although the agreement is generally consensual, a written contract is essential in practice because the relationship is continuing and normally documented through several instruments.

These may include a master agreement, product schedules, price lists, purchase orders, invoices, marketing policies and email correspondence.

The contract should establish a clear order of priority among them.

Many disputes arise because a later invoice or termination letter differs from the master agreement.

Exclusivity must be defined rather than merely announced.

The contract should identify the territory, covered products, sales channels, reserved customers, direct sales, online sales, duration and conditions for continuation.

It should also state whether exclusivity binds the supplier, the distributor or both.

Failure to meet a sales target should not automatically terminate the entire relationship unless the contract clearly says so and provides a fair method of measurement.

Other essential terms include order and acceptance procedures, forecasts, prices, discounts, taxes, currency, payment, delivery, transfer of title and risk, inspection, minimum stock, product compliance, returns, recalls, trade mark use, advertising, data, confidentiality, regulatory responsibility, insurance, limitation of liability, force majeure, duration, renewal, termination and dispute resolution.

Supplier Obligations

The supplier must deliver conforming products in the quantities and at the times agreed.

It must provide the information and documents reasonably required for lawful distribution and must respect any valid promise of exclusivity.

The extent of its duty to continue supplying depends on the contract.

A supplier is not necessarily bound to accept every order if supply remains subject to availability or written approval, but it may not use a discretionary power in a manner that destroys the agreed commercial purpose.

Article 202 of the Civil Code requires performance in accordance with the contract and in a manner consistent with good faith.

Contractual duties also extend to consequences required by law, custom and the nature of the transaction.

In a continuing distribution relationship, this supports duties of cooperation, timely disclosure of material product or supply changes, and honest exercise of contractual discretion.

Good faith does not create an exclusivity, fixed term or stock repurchase duty contrary to clear language; it governs the exercise of rights that already exist.

If the supplier permits the distributor to use its trade mark, the agreement should define the scope of the licence, approved presentation and post termination removal.

Product defects, consumer claims and recall costs should be allocated according to the source of the problem and mandatory law.

In regulated sectors, the parties should identify responsibility for registrations, licences, updates and technical or pharmacovigilance obligations.

Distributor Obligations

The distributor must pay the purchase price, promote the products with reasonable diligence, protect their condition during storage and transport, preserve the reputation of the brand, and provide agreed reports.

Sales targets must be defined carefully. The contract should state whether they are strict results or performance objectives, how they are measured, and how supply shortages or market disruption affect them.

The distributor must remain commercially independent if the relationship is intended to be independent distribution.

When the supplier fixes final prices, approves each customer, collects receivables and removes all inventory and credit risk, the stated independence becomes less convincing.

Sound drafting allows the supplier to protect quality and brand standards while leaving the distributor real commercial discretion.

Registration and Evidence

Where the relationship falls within commercial agency, the Commercial Agents and Intermediaries Law requires registration in the designated register.

The agency agreement is submitted with the required authentication within the statutory period.

Article 10 provides that the parties to an unregistered agency do not enjoy the advantages granted by the special statute.

Third parties may nevertheless rely on the factual existence of the agency within the limits established by law.

The case law has used different language to describe the effect of non registration.

General Assembly Decision No. 3288 of 2017 stressed that the commercial agent must have been registered before conducting agency business and that later registration did not cure the earlier position.

Decision No. 1260 of 2023 clarified that an unregistered agency does not disappear as a contract.

It remains subject to general contract and commercial rules but loses the special protections of the statute.

The practical lesson is straightforward.

A business whose activity approaches the broad statutory definition should not rely on the word distributor as a means of avoiding registration.

It should obtain an early functional assessment and register where the elements of agency are present.

The parties should also preserve purchase orders, invoices, commission records, pricing communications, customer contracts and correspondence, because courts examine actual performance over time.

Termination Compensation and Inventory

Fixed Term Agreements

Article 241 of the Civil Code provides that a valid binding contract may not be revoked, amended or terminated except by agreement, judicial order or operation of law.

Under Article 246, where one party fails to perform a reciprocal obligation, the other party may, after notice, seek performance or termination.

The court may award compensation where appropriate.

Article 245 permits the parties to agree on automatic termination for non performance, but waiver of formal notice must be express.

A fixed term distribution agreement may not normally be ended early merely because the commercial strategy has changed, unless the contract grants a relevant termination right or a material breach has occurred.

Termination clauses should distinguish between a remediable failure, such as a late report or a limited target shortfall, and a breach that destroys the commercial basis of the relationship, such as counterfeiting, serious trade mark misuse or repeated inability to pay.

Agreements of Indefinite Duration

An indefinite agreement raises a different issue. Perpetual contractual commitment is not presumed.

A continuing relationship may generally be ended by unilateral notice where the parties have not agreed otherwise.

The right to terminate remains subject to the contract, good faith, reasonable notice and the surrounding circumstances.

Reasonable notice should reflect the length of the relationship, the size of relationship specific investment, the inventory cycle, the nature of the products, regulatory lead times and the distributor’s ability to move to another supplier. No fixed number of months is suitable for every sector. Notice becomes particularly important where the supplier encouraged substantial investment that could be recovered only through continued performance, required unusually high stock shortly before termination, or delayed disclosure of an established termination decision.

Good faith should not become an automatic award for the loss of future profits.

Under the general rules, the claimant must establish a contractual breach, proven loss and a causal link.

Evidence must separate unavoidable market loss from loss caused by the unlawful manner or timing of termination.

Compensation

If the relationship is a registered commercial agency, Article 14 of the Commercial Agents and Intermediaries Law may allow the agent to claim actual damage and lost profit when the principal terminates the agency before expiry without fault by the agent or for an illegitimate reason, subject to the statutory conditions.

This protection does not automatically extend to every independent distributor.

For independent distribution, the contract and the general law provide the basis of liability.

Article 363 of the Civil Code directs the court, where compensation has not been fixed by law or agreement, to assess it by reference to the loss actually suffered at the time of occurrence.

A properly prepared claim should separate unrecovered relationship specific investment, necessary exit costs, stock loss caused by breach, third party liabilities, and sufficiently certain lost profit.

Each head of loss requires documentary support and a defensible expert method.

Inventory After Termination

Inventory is often the most sensitive issue. In a registered commercial agency, Article 15 establishes a special mechanism concerning products covered by the agency and may impose responsibility on the principal and the new agent.

Independent distribution has no equivalent general rule requiring repurchase merely because the relationship has ended.

The agreement should therefore state whether the distributor has a sell off period, a right or duty to return stock, or a mechanism for transfer to a replacement distributor.

It should define eligible products, remaining shelf life, condition, pricing, freight and timing.

Slow moving or customised goods should be addressed expressly.

Amman Court of Appeal Decision No. 10967 of 2022 shows that a supplier’s separate promise concerning inventory may be enforceable even when the relationship is not an agency.

A termination letter is not merely administrative. It may acknowledge a right or create an obligation that was not stated in the original agreement.

Exclusivity and Competition Law

The Legality of Exclusive Distribution

Exclusivity is not unlawful in itself.

It may support investment, promotion, product quality and after sales service.

Its legality depends on its structure and market effect.

The Competition Law No. 33 of 2004, as amended including by Law No. 8 of 2026, prohibits agreements and practices whose object, purpose or effect is to restrict, limit or prevent competition.

The statutory examples include restrictions on distribution or marketing, market allocation and measures that obstruct market entry.

A contract cannot make exclusivity lawful merely by declaring it reasonable.

The analysis should consider the relevant product and geographic market, the parties’ market power, the duration and scope of the restriction, access to alternative channels, barriers to entry and efficiencies passed to consumers.

Risk increases where the restriction is long, covers unrelated products or prevents realistic switching.

Resale Prices and Market Allocation

Article 8 of the Competition Law prohibits the direct or indirect imposition of a minimum resale price.

The agreement must therefore distinguish a genuinely non binding recommended price or a lawful maximum price from a mechanism that prevents discounting through penalties, termination, withholding supply or withdrawal of incentives.

Territorial and online sales restrictions should also be tested by their actual competitive effect rather than by the label of brand protection.

The law separately prohibits abuse of a dominant position, including certain resale price conditions and exclusionary conduct.

Competition compliance is therefore an ongoing exercise.

A term with limited impact when signed may become significant if market share rises, competitors leave or distribution channels become concentrated.

A Critical Reading of the Case Law

Three propositions are relatively clear. Courts control legal classification and are not bound by the title selected by the parties. Purchase for one’s own account, assumption of commercial risk and absence of commission strongly support independent distribution. Finally, exclusion of the special agency statute does not mean that the relationship has no legal protection. Express terms, good faith and general damages rules continue to apply.

Uncertainty remains because the statutory definition of commercial agent can include a distributor selling for its own account, while several decisions exclude factually similar purchase and resale arrangements. One possible reconciliation is to read the statutory distributor as a person integrated into a structure of commercial representation, rather than every trader that resells products. A clear legislative test or an express General Assembly ruling would improve predictability.

The decisions also show the importance of accounting and operational evidence. Courts examine invoices, payment terms, commission records, customer returns, correspondence and pricing control. The written contract and actual practice should therefore match. Where they diverge, the sustained course of performance may carry greater evidential weight than a single clause.

Drafting Guidance for a Jordanian Distribution Agreement

A well drafted agreement should turn the main classification and termination questions into written, provable answers.

At a minimum, it should address the following matters:

•  The parties, products, territory, channels and reserved customers, together with a clear statement that the distributor purchases in its own name and for its own account and cannot bind the supplier unless a separate written authority is granted.

•  Forecasts, purchase orders, acceptance, minimum purchases and the effect of supply shortages on targets and exclusivity.

•  Wholesale prices, discounts, currency, taxes and payment, while avoiding a binding minimum resale price.

•  Transfer of title and risk, delivery, insurance, inspection, rejection, defects, returns and product recalls.

•  Duration and renewal, termination for cause, termination for convenience, cure periods, notice and treatment of outstanding orders.

•  Inventory after termination, including sell off, repurchase or transfer, together with shelf life, condition, price and transport rules.

•  Trade mark use, advertising materials, intellectual property, confidentiality, data and post termination obligations.

•  Sector regulation, competition law, anti bribery, trade sanctions and proportionate audit rights.

•  Governing law, courts or arbitration, contract language and notices, subject to any mandatory jurisdiction rule applicable if the relationship is a commercial agency.

The parties should avoid internal contradiction.

A clause describing the business as an independent distributor should not be followed by broad authority to represent the supplier, collect its debts or sign contracts on its behalf.

Where limited representation is commercially necessary, it should be governed by a separate written authority specifying its purpose and duration.

Conclusion

The distribution agreement has a distinct commercial function even though Jordanian legislation does not regulate it in a single statute.

It is more than a series of sales because it organises a continuing market relationship, often involving exclusivity, brand control and relationship specific investment.

It is not a commercial agency merely because the distributor promotes the product or is described as an agent.

The decisive inquiry concerns the substance of the obligations. Ownership, inventory and credit risk, remuneration, pricing discretion, customer contracts and authority to bind the supplier must be considered together.

Classification then determines whether the special registration, compensation, inventory and jurisdiction rules of commercial agency apply or whether the dispute remains governed by the contract and general law.

Findings

•  Independent distribution is an innominate continuing framework contract governed primarily by its terms, general contract rules and commercial custom.

•  The broad statutory definition of commercial agent overlaps with distribution, while Jordanian courts use a functional test based on ownership, remuneration, risk and customer relations.

•  The contract title is not decisive. Article 214 of the Civil Code directs courts to the parties’ purposes and the actual substance of performance.

•  An unregistered agency may remain contractually valid under general law but cannot claim the special advantages of the Commercial Agents and Intermediaries Law.

•  The statutory compensation and inventory protections in Articles 14 and 15 do not automatically extend to every independent distributor.

•  Exclusivity may be lawful after market review, but minimum resale prices are prohibited.

•  Termination correspondence may create separate enforceable duties, especially in relation to remaining stock.

Recommendations

•  Jordanian legislation should define independent distribution and provide objective boundaries between a distributor and a commercial agent.

•  The classification test should consider ownership, risk, remuneration, customer relations and authority to bind the supplier rather than the contract title alone.

•  Long term distribution agreements should be subject to a flexible reasonable notice rule based on duration, investment and inventory cycles, except in cases of material breach.

•  A fair default rule should address saleable inventory following termination not caused by distributor breach, while permitting detailed contractual alternatives that are not abusive.

•  Court principles on distribution and agency should be published in a unified searchable source.

•  Exclusive arrangements should undergo competition review when signed and periodic review when market share, sales channels or legislation changes.

Distribution Agreements under Jordanian Law
